This agreement (“the agreement”) contains the complete terms and conditions that apply to an individual's or entity's participation in WPC’s thank you commission scheme (the "scheme").

As used in this agreement, "we" or “WPC” means WPC-Global Ltd "you" or “agent” means the commission scheme worker, “client” means that entity paying monies for services provided by WPC, “services" means those specific services that WPC recognises as part of its commission scheme, “publicised figures” means the amounts payable by WPC as part of this agreement and advertised on our website or elsewhere and “code” means the number assigned to you by WPC for identification purposes within the scheme.

1. COMMISSION PAYMENTS

Subject to the terms and conditions of this agreement, you will be paid commission for each new and unique client for which you have been responsible for bringing to WPC in cases where your name and / or code as the first finder notifying WPC of that client has been registered with us and after payment is made to WPC of the amounts due from that client. The amount of the commission will be based on the value of the client as determined by WPC and as per publicised information. WPC’s decision in all matters relating to payments is final but we will aim to resolve disputes amicably

2. REGISTRATION

To register for the scheme, you will complete the online registration form via our website and / or via a physical document. We may reject your application if we determine at our sole discretion that you are unsuitable for the scheme.

3. COMMISSION WORKERS & CLIENTS

Commission workers may be either natural persons or legal entities under Law. Clients are not precluded from acting as commission workers either for other clients or themselves. It is the commission workers responsibility to ensure their details as the agent responsible for enabling or consummating a transaction leading to WPC providing a service to a client are logged with us prior to contact with the potential client. Commission workers logged details in relation to the possibility of a potential new client requesting services from WPC are valid for 14 days from their submission at which point they expire. Contact with WPC made by the potential client within that period which results in initiation of normal process leading to contract for services permanently validates the association between the responsible commission worker and that client. The default assumption in the absence of a commission worker contacting us prior to the client doing so is that the client themselves will be entitled to the commission fee.

4. CONFIDENTIALITY

Clients purchasing services from WPC through this scheme will be deemed to be clients of WPC. Accordingly, all WPC's rules, policies, and operating procedures including confidentiality and non-disclosure agreements will apply. WPC will never (unless otherwise agreed) reveal the identities of commission workers to clients.

5. LIMITED LICENSE

We grant you a non-exclusive, non-transferable, non-sub-licensable, revocable right to use WPC logos and text for which we grant express permission, solely for the purpose of identifying yourself as a scheme participant. You may not modify the message or any of our images or trademarks in any way. We reserve all of our rights in the message, any other images, our trade names and trademarks, and all other intellectual property rights. Except as provided herein you agree that you have no rights, title or interest in or to the message or other images, trademark or trade names provided to you by WPC and all uses of such materials by you will inure to the benefit of WPC. You agree not to apply for registration of any of WPC's trademarks, service marks or trade-names (or any mark similar there to) anywhere around the world. You agree that you will not engage, participate or otherwise become involved in any activity or course of action that diminishes and/or tarnishes the image and or reputation of WPC or its trademarks.

6. TERM OF THE AGREEMENT

The term of this agreement will begin upon our acceptance of your registration and will end when terminated by either party. Either you or we may terminate this agreement at any time, with or without cause, by giving the other party written or emailed notice of termination. Even though you are only eligible to earn referral fees on client service purchases occurring during the term of this agreement installment payments will be honoured by WPC outside this period.

7. MODIFICATION

We may modify any of the terms and conditions contained in this agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on our website. Modifications may include, for example, changes in the scope of available commission, schedules, payment procedures, and scheme rules. Your continued participation now, or within seven days following the posting notice of any changes in these terms and conditions, will constitute a binding acceptance by you of such rules, changes or modifications. If any modification is unacceptable to you your only recourse is to terminate this agreement.

8. RELATIONSHIP OF PARTIES

You and WPC are independent contractors, and nothing in this particular Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf.

9. LIMITATION OF LIABILITY

We will not be liable for indirect, special, or consequential damages or loss of any sort arising in connection with this agreement. Our aggregate liability will not exceed the total legitimate fees payable to you.

10. UNDERSTANDING

You acknowledge that you have read and this agreement and agree to all its terms and conditions.
